Florida
CONSTITUTION
ARTICLE I:
A. Name: Retiree's Association Lockheed
Martin of Central Florida
B. Object: Promoting good will,
community service, educational support to schools, and fellowship on a
non-profit basis.
C. Membership:
1.
Anyone receiving a retirement pension from Lockheed Martin is eligible to
join the organization and be a voting member.
2.
Spouses shall be affiliate non-voting members.
3.
Spouse of deceased member is eligible to become a voting member.
D. Officers:
Chairman
of Board, President, First Vice President, Second Vice President,
Secretary, Assistant Secretary, Treasurer, Assistant Treasurer, and
Directors at Large (6). These officers shall comprise the Executive
Committee.
E. Elections:
The
Chairman of the Board shall be the immediate past President. The President,
First Vice President, Second Vice President, Secretary, Assistant
Secretary, Treasurer, and Assistant Treasurer shall be elected by ballot
for one-year terms. No officer may serve for more than two (2) terms in the same office except the
Secretary, Assistant Secretary, Treasurer, and the Assistant Treasurer. The
Directors at Large shall be elected by ballot for three-year terms to
provide continuity on the Executive Committee. The terms for the Directors
shall be staggered so that only two (2) Directors need to be elected each
year.
ARTICLE II - DUTIES:
A. Chairman of the Board - principal
function is to chair the Annual Meeting for Elections.
B. President - shall preside at all Executive Committee and
General Membership meetings, appoint all committees, and perform all duties
pertaining to this office.
C. First Vice President - shall act as
President in the absence of that individual and shall perform such tasks as
may be assigned by the President or the Executive Committee.
D. Second Vice President - shall act as
President in the absence of both the President and the First Vice President
and shall perform such tasks as may be assigned by the President or the
Executive Committee.
E. Secretary - shall conduct all
correspondence, attend all Executive and General Membership Meetings, have
lists of members and officers maintained, prepare and mail meeting notices
and minutes, act as custodian of files, and perform all other duties pertaining
to the office.
F. Assistant Secretary - shall act as
Secretary in the absence of the Secretary and shall perform such tasks as
may be assigned by the Secretary, President, or Executive Committee.
G. Treasurer - shall receive and
disburse monies as directed by officers and Executive Committee and perform
all other duties pertaining to the office.
H. Assistant Treasurer - shall act as
Treasurer in the absence of the Treasurer and shall perform such tasks as
may be assigned by the Treasurer, President, or Executive Committee.
I. Directors - shall participate in
all meetings of the Executive Committee and vote on matters pertinent to
the administration of the organization.
ARTICLE III - VACANCIES:
A. Officer vacancies shall be filled by
members appointed by the President.
ARTICLE IV - DUES:
A, $7.50 per calendar year. Any member
not paying dues by January 31 shall be dropped from the active rolls.
ARTICLE V - MEETINGS:
A. General membership business meetings
shall be held semi-annually in January to review planned activities and in
October / November to elect officers for the following year and at both to
conduct any other pertinent business. Attendance of 10% of the retiree
membership shall be a quorum. Other business meetings may be called as
needed by Executive Committee or upon written request of 10% of retiree
members.
B. Executive Committee Meetings shall
be held monthly.
ARTICLE VI - OTHER COMMITTEES:
A. Any pertinent and necessary
committees shall be appointed by the President and shall serve for one
year.
ARTICLE VII: - AMENDMENTS:
A. Amendments to Constitution shall be
made at any membership business meeting after prior written notice to
members and if passed by a majority of members present.
